Service Delivery
Our services may be delivered through various formats:

- On-site training at client premises

3. Registration and Accounts
Account Creation
To access certain services, you may need to create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your account information as needed
- Keep your login credentials secure and confidential
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activities under your account
Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use our services. If you are registering on behalf of an organization, you warrant that you have the authority to bind that organization to these Terms.
Account Security
You are responsible for maintaining the security of your account. We recommend:
- Using strong, unique passwords
- Not sharing login credentials with others
- Logging out after each session on shared devices
- Regularly reviewing account activity
4. Payment and Billing
Fees and Pricing
Our current fees and pricing information are available on our website and in service proposals. All prices are in Australian Dollars (AUD) and include GST where applicable.
Payment Terms
- Individual Sessions: Payment is due in full at the time of booking
- Training Programs: Payment plans may be available as agreed in writing
- Corporate Training: Payment terms as specified in separate agreements
- Late Payments: Overdue accounts may incur additional charges and service suspension
Payment Methods
We accept the following payment methods:
- Credit and debit cards (Visa, MasterCard, American Express)
- Bank transfer (electronic funds transfer)
- Company purchase orders (for approved corporate accounts)
- Other payment methods as mutually agreed
Automatic Renewals
Some services may automatically renew. You will receive advance notice of any automatic renewals and can cancel before the renewal date to avoid charges.
Taxes and Fees
All applicable taxes, including GST, are included in our stated prices unless otherwise specified. Additional fees may apply for services outside our standard offering area.
5. Cancellation and Refunds
Client Cancellation Rights
You may cancel services subject to the following conditions:
Individual Sessions
- 48+ hours notice: Full refund or rescheduling without penalty
- 24-48 hours notice: 50% refund or rescheduling with administrative fee
- Less than 24 hours notice: No refund; may reschedule subject to availability and fees
- No-show: Full session fee applies; no refund
Training Programs
- 7+ days before start: Full refund minus administrative fee (10% or $50, whichever is greater)
- 3-7 days before start: 50% refund
- Less than 3 days before start: 25% refund
- After program commencement: Pro-rata refund for unused sessions at our discretion
Corporate Training
Corporate training cancellation terms are specified in individual agreements and may differ from standard terms.
Our Cancellation Rights
We may cancel or reschedule services due to:
- Instructor illness or emergency
- Insufficient enrollment for group programs
- Force majeure events (natural disasters, government restrictions, etc.)
- Venue unavailability or technical issues
- Client violation of these Terms
If we cancel services, you will receive a full refund or alternative arrangements at no additional cost.
Refund Processing
Approved refunds will be processed within 14 business days to the original payment method. Bank processing times may vary.
6. Client Obligations
Participation Requirements
To maximize the benefit of our training services, clients are expected to:
- Attend all scheduled sessions punctually
- Participate actively in exercises and discussions
- Complete any assigned practice work or homework
- Provide constructive feedback to instructors and peers
- Maintain confidentiality regarding other participants
Professional Conduct
All clients must maintain professional and respectful behavior:
- Treat instructors and other participants with courtesy and respect
- Avoid discriminatory, offensive, or disruptive behavior
- Respect diverse backgrounds, opinions, and learning styles
- Follow venue rules and safety protocols
- Use appropriate language and professional communication
Technology Requirements
For virtual training sessions, clients must ensure:
- Reliable internet connection and appropriate bandwidth
- Functioning camera and microphone
- Quiet, professional environment for participation
- Current software and browser versions
- Basic technical troubleshooting capability
Health and Safety
Clients are responsible for:
- Disclosing any health conditions that may affect participation
- Following all venue health and safety protocols
- Notifying instructors of any concerns or limitations
- Participating only to their comfort level and ability
7. Intellectual Property
Our Intellectual Property
All training materials, methodologies, and content provided by Gudgecubet are our intellectual property and are protected by copyright and other intellectual property laws. This includes:
- Training curricula and program designs
- Instructional materials, handouts, and resources
- Proprietary methodologies and frameworks
- Assessment tools and evaluation criteria
- Recorded sessions and training content
Limited License
We grant you a limited, non-exclusive, non-transferable license to use our materials solely for your personal or internal business use in connection with your training program. You may not:
- Reproduce, distribute, or publicly display our materials
- Use our materials to provide training services to third parties
- Modify, adapt, or create derivative works from our materials
- Remove copyright notices or proprietary markings
- Reverse engineer or attempt to extract our methodologies
Client Content
You retain ownership of any content you create or provide during training (presentations, exercises, case studies). By participating in our programs, you grant us a limited license to use such content for instructional purposes within your training sessions.
Feedback and Testimonials
Any feedback, suggestions, or testimonials you provide to us may be used for marketing and promotional purposes unless you specifically request otherwise.
8. Confidentiality
Our Commitment
We maintain strict confidentiality regarding:
- Your personal and professional information
- Training goals, challenges, and progress
- Business information shared during corporate training
- Feedback and assessments
- Any sensitive information disclosed during training
Participant Confidentiality
In group training settings, all participants agree to maintain confidentiality regarding:
- Other participants' personal information and progress
- Business information shared during exercises
- Individual feedback and coaching discussions
- Any sensitive topics discussed in training sessions
Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available or becomes public through no fault of ours
- We are required to disclose by law or legal process
- You explicitly authorize us to disclose
- Is necessary to protect safety or prevent harm
9. Limitation of Liability
Service Disclaimer
While we strive to provide high-quality training services, we cannot guarantee specific outcomes or results. The effectiveness of our training depends on various factors including individual effort, practice, and application of learned skills.
Limitation of Damages
To the maximum extent permitted by law, our liability to you for any damages arising from or related to these Terms or our services is limited to the amount you paid for the specific service giving rise to the claim.
Excluded Damages
We will not be liable for any indirect, consequential, special, incidental, or punitive damages, including but not limited to:
- Lost profits or business opportunities
- Damage to reputation or relationships
- Career or professional setbacks
- Emotional distress or personal injury
- Loss of data or confidential information
Australian Consumer Law
Nothing in these Terms excludes, restricts, or modifies any consumer guarantees, warranties, or other rights you may have under the Competition and Consumer Act 2010 (Cth) or other applicable consumer protection laws.
Force Majeure
We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, labor disputes, or technical failures.
10. Termination
Termination by Client
You may terminate your participation in our services at any time, subject to the cancellation and refund policies outlined in Section 5.
Termination by Gudgecubet
We may terminate or suspend your access to our services immediately, without notice, if you:
- Violate these Terms or our policies
- Engage in disruptive or unprofessional behavior
- Fail to pay fees when due
- Provide false or misleading information
- Misuse our intellectual property
- Pose a threat to other participants or staff
Effect of Termination
Upon termination:
- Your right to access services ends immediately
- Outstanding fees remain payable
- Confidentiality obligations survive termination
- You must return or delete any proprietary materials
- Refunds will be processed according to our policies
11. Dispute Resolution
Good Faith Resolution
If you have a concern or dispute, we encourage you to contact us directly first. We are committed to resolving issues promptly and fairly through open communication.
Formal Complaints
If direct resolution is not possible, you may lodge a formal complaint by:
- Sending a detailed written complaint to [email protected]
- Including relevant documentation and desired resolution
- Allowing us 30 days to investigate and respond
- Participating in good faith discussions to reach resolution
Mediation
If we cannot resolve the dispute through direct negotiation, we agree to attempt resolution through mediation before pursuing legal action. Mediation will be conducted by a mutually agreed mediator in Sydney, NSW.
Governing Law
These Terms are governed by the laws of New South Wales, Australia. Any legal proceedings will be conducted in the courts of New South Wales.
Industry Standards
As a professional training organization, we adhere to industry standards and may be subject to relevant professional body dispute resolution processes.
12. General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and any separate service agreements, constitute the entire agreement between you and Gudgecubet regarding our services.
Amendments
We may modify these Terms at any time by posting updated Terms on our website. Material changes will be communicated via email to active clients. Continued use of our services after changes constitutes acceptance.
Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver
Our failure to enforce any right or provision in these Terms does not constitute a waiver of that right or provision.
Assignment
You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights and obligations to any party without restriction.

All notices required under these Terms must be in writing and delivered to the addresses specified in our contact information.
